Terms of Use

1. Acceptance of These Terms

These Terms of Use govern your access to and use of the VANYA web application and related services (collectively, "the App"), which is provided by VANYA ("we," "us," or "our"). By creating an account, accepting an invitation, joining a trip or event, or otherwise using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the App.

VANYA is currently available as a web application. A separate End User License Agreement ("EULA") may apply to future mobile application versions. Until a EULA is published, these Terms of Use and our Privacy Policy are the only active agreements between you and VANYA.

2. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement, that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.

3. Your Account and Profile

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to provide accurate and truthful information when creating your traveler profile and trip records.
  • You may not create an account using a false identity or on behalf of someone other than yourself without authorization.
  • You must notify us immediately if you believe your account has been compromised or used without authorization.
  • Your profile information, including your name, nickname, contact details, bio, interests, and photo, may be visible to other members of trips or events you belong to, subject to your sharing preferences.

4. Trips and Events

VANYA allows hosts to create Trips and Events as private collaborative workspaces. A Trip is a travel experience with itineraries, activities, lodging, flights, and shared logistics. An Event is a standalone or trip-linked gathering with attendees, scheduling, and optional operational modules.

  • Trip and Event hosts have elevated management capabilities, including the ability to edit experience details, manage members, create announcements, and configure tools.
  • Travelers and guests participate by RSVPing to activities, sharing travel information, and contributing to the board.
  • Trip and Event data is private by default and visible only to confirmed members, except where an experience is designated as public or featured.

5. Invitations and Join Codes

Hosts may invite people to join their Trips and Events by sending invitations or sharing join codes. If you share a join code or invitation link, you are responsible for who receives it. Join codes and invitations grant access to private experience data, and you should only share them with intended participants. Hosts may revoke invitations at any time.

6. Hosts, Co-Hosts, Team Members, Travelers, and Guests

VANYA supports different roles within each Trip or Event:

  • Hosts: The creator or designated manager of a Trip or Event. Hosts can manage all aspects of the experience, including members, activities, announcements, settings, and tools.
  • Co-Hosts and Team Members: For Events with logistics enabled, hosts may designate team members with specific operational roles. Team members may have access to attendee and operational information relevant to their assignments.
  • Travelers: Members of a Trip who can view shared information, RSVP to activities, post to the board, and manage their own travel details.
  • Guests and Attendees: Participants in an Event who can view event information, RSVP, and manage their own details. External guests without VANYA accounts may be included for record-keeping by hosts.

Your role determines what information you can access and what actions you can take. You are responsible for using your access appropriately and not misusing information available to you through your role.

7. Board Posts, Replies, Reactions, Polls, and Mentions

The Board is a collaborative space within each Trip or Event where members can share posts, reply to threads, react with emoji, create polls, and mention other members. You retain ownership of content you post to the Board.

  • Board posts may include discussion messages, place or stay recommendations, dining and nightlife ideas, activity suggestions, and polls.
  • You can control the visibility of your posts, including sharing with everyone, specific people, or keeping them as private notes.
  • Hosts may pin posts to highlight important information for the group.
  • Mentions (@username and @everyone) notify other members. Do not abuse mentions to spam or harass other users.
  • Uploaded images and files are your responsibility. Do not upload content you do not have the rights to share.

8. Messages and Announcements

VANYA provides group messaging within Trips and Events, as well as direct messages between members. Hosts can send announcements to broadcast important information to participants. Announcements may require acknowledgement depending on their priority.

You are responsible for the content of your messages. Do not use messaging to harass, threaten, or spam other members. Messages you send are visible to their intended recipients according to the audience you select.

9. Content Conversion

Board posts, including place or stay recommendations, dining and nightlife ideas, and activity suggestions, can be converted into structured VANYA records such as Activities, Events, Lodging, or Itinerary items. When content is converted, a structured record is created and linked to the original post. The original post remains on the Board for reference.

10. VANYA Assistant and AI-Assisted Features

VANYA may offer AI-assisted features, including the VANYA Assistant, to help you plan, organize, summarize, and manage your travel experiences. These features may process information you provide, such as trip details, activity descriptions, and board content, to generate suggestions, summaries, or other helpful output.

  • Suggestions and summaries generated by AI-assisted features are informational only and do not constitute professional travel, safety, legal, financial, or other expert advice.
  • You are responsible for verifying all AI-generated information before relying on it.
  • VANYA does not guarantee the accuracy, completeness, or reliability of AI-assisted output.
  • For Intelligence features, external and authoritative sources provide the underlying information. VANYA may help determine relevance, summarize information, or surface potential impacts, but does not create or warrant the accuracy of the underlying source data.

11. Travel, Lodging, and Transportation Information

VANYA allows you to store and share travel information, including flight details, lodging reservations, transportation arrangements, and personal itinerary items. You control whether your travel information is shared with the group or kept private. VANYA is a planning and coordination tool, not a booking service. You are responsible for verifying all bookings, reservations, flight times, and travel arrangements, and for complying with the terms of third-party providers such as airlines, hotels, and tour operators.

12. Expenses, Balances, Payments, and Invoices

VANYA offers expense tracking and shared expense splitting within Trips and Events. Where a host has enabled the payments module for a specific Trip or Event, VANYA may also support balances, payments, and invoices. Payments are not available on all experiences and are not a default feature of every Trip or Event.

Where payments are processed through the App, they are handled by our third-party payment processor. We do not store full card numbers on our servers. Any refunds, chargebacks, or billing disputes are subject to the payment processor's terms and applicable law. VANYA facilitates expense tracking and coordination between members but does not guarantee that shared expenses will be settled between participants.

13. External Links and Third-Party Services

The App may contain links to external websites and services, including booking pages, restaurant websites, activity providers, and map services. VANYA does not control and is not responsible for the content, policies, or practices of third-party websites. When you follow an external link, you are subject to that website's terms and privacy policy.

VANYA may integrate with third-party services you connect, such as Google Calendar for calendar synchronization or social login providers for account creation. Your use of these integrations is subject to the terms and privacy policies of those providers.

14. Acceptable Use

You agree not to use the App to:

  • Harass, threaten, or harm other travelers, hosts, guests, or third parties.
  • Scrape, copy, or redistribute trip data, traveler profiles, or messaging content without authorization.
  • Submit false, misleading, or fraudulent expense information or payment handles.
  • Share join codes or invitation links publicly or with unintended recipients.
  • Spam other members through board posts, mentions, or messages.
  • Submit harmful, illegal, or prohibited content to AI-assisted features.
  • Use the App for any unlawful, fraudulent, or harmful purpose.

Violations may result in suspension or permanent termination of your account at our sole discretion.

15. Account Suspension and Deletion

You may request deletion of your account and associated data at any time from Settings, under Account Management. Deletion is permanent and cannot be undone. Some records may be recoverable for a limited time through the Recently Deleted feature before they are permanently purged.

We reserve the right to suspend or terminate your access if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the App, its users, or third parties.

16. VANYA Intellectual Property

The VANYA name, logo, branding, design, and all content provided by VANYA through the App (excluding user-generated content) are the intellectual property of VANYA. You may not copy, modify, distribute, or use VANYA's intellectual property without prior written consent. User-generated content remains the property of the users who created it, subject to the sharing and licensing described in these Terms.

17. App Store Provisions and Future EULA

If you access or purchase a future mobile version of VANYA through a third-party app store such as the Apple App Store or Google Play Store, that store's respective terms of service and end user license agreement will prevail in the event of a conflict with these Terms. A separate VANYA End User License Agreement (EULA) may apply to the mobile application when it becomes available. Until then, these Terms of Use and our Privacy Policy govern your use of the App.

18. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the App will be uninterrupted, error-free, or that trip data will be accurate or complete. You use the App at your own risk.

19. Limitation of Liability

To the maximum extent permitted by law, VANYA, its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the App, including but not limited to missed flights, lost reservations, or disputes between travelers. Our total liability shall not exceed the amount you have paid us, if any, for access to the App in the preceding twelve (12) months.

20. Indemnification

You agree to indemnify and hold harmless VANYA and its affiliates from any claims, damages, or expenses arising out of your violation of these Terms or your misuse of the App.

21. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

22. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in New York.

23. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
